Course Description

This live webinar describes the options and alternatives that are available in structuring ESOP (Employee Stock Ownership Plan) transactions. It describes the valuation, tax, financing and fiduciary considerations that are involved in structuring ESOP transactions. It also covers corporate governance considerations and structuring incentive plans for key employees of ESOP-owned firms. Knowledge of these issues will greatly help advisors and their clients to determine how best to structure ESOP transactions.

Michael A. Pasahow is a business attorney specializing in employee benefits law and ESOP transactions. Mr. Pasahow is responsible for assisting the Menke & Associates, Inc. legal department with plan design, drafting, and submission to the Internal Revenue Service as well as advising ESOP clients of Menke & Associates, Inc. concerning corporate transactions and ongoing ESOP management. Mr. Pasahow received his B.A. degree in Political Science and Japanese from Swarthmore College and his Juris Doctor degree from the University of California Berkeley School of Law.

Chuck Bachman is Senior Counsel for Menke & Associates. He is a CPA as well as an attorney. Chuck specializes in the design and installation of ESOPs as well as the structuring of ESOP transactions. He has over 20 years of experience and has been involved in literally hundreds of ESOP transactions. Chuck is a frequent speaker and author on all aspects of ESOPs. He is a member of the California Bar Association and the American Institute of Certified Public Accountants (AICPA). He is also a member of the Advisory Committee of the ESOP Association, as well as the Steering Committee of the California/ Western States Chapter of the ESOP Association.
