Course Description

Captives were previously the exclusive province of Fortune 1500 companies to provide insurance for risks that were not covered by the commercial market or for risks that were cost prohibitive to insure via the commercial market. In the last two decades, closely held businesses have benefitted as well from captive ownership and the insurance and risk management provided by a captive. This seminar will briefly review what is a Captive Insurance Company, the risks that are typically covered through a captive’s insurance policies, the regulatory and tax fundamentals required for properly establishing and operating a captive, US income taxation of captives, and choice of domicile. We will also include historical developments relative to the risk management use and objectives of captives and an overview of relevant tax authorities that address such concepts as risk transfer and distribution. This overview will include more recent developments, such as the holdings in the Securitas and Rent-a-Center decisions and the impact of those cases to captive taxation. The course will also provide an overview of the process of formation, ownership, and management of Captive Insurance Companies.
