Course Description

A new SBA PPP notice provides information about the required procedures for changes in ownership of an entity that has received Paycheck Protection Program (PPP) funds. The notice outlines when permission or escrow arrangements will be required to allow borrowers to have changes in ownership or transfers of assets without being in breach of PPP loan rules. Together we will explore the notice and its implications.

Learning Objectives:

  • Describe what the Notice says and how it works

  • Identify when transfers and sales will not require SBA notice or lender approval

  • Identify when transfers and sales will require Lender notice and escrow, but no SBA approval

  • Determine what to do when the borrower does not have sufficient funds for escrow

  • Describe tax planning with entity ownership transfers, and alternative strategies

  • Recall income tax planning ideas for the question of whether and when expenses incurred for PPP loans that are expected to be deductible will occur
